LLC formation: what filing does and doesn't do for you

Formation is the first step, not the finish line. What comes after the articles are filed.

Filing articles of organization creates a legal entity. It does not, by itself, create separation, credibility, or compliance. Those come from what you do next.

What formation does

  • Registers the entity with the state.
  • Establishes a legal name for the business.
  • Creates the framework for limited liability, if you maintain it.

What formation does not do

  • It does not open a bank account or build business credit.
  • It does not protect you if personal and business funds are mixed.
  • It does not satisfy licensing, registration, or annual reporting requirements.
  • It does not change how you are taxed unless an election is filed.

The order that works

Formation, then EIN, then a dedicated business bank account, then bookkeeping, then licensing and any required registrations. Doing these out of order is what creates cleanup work later.
